By using Syntene services ("the Service"), you agree to these Terms of Service ("Terms"). Please read them carefully.

1. Service Availability

Syntene provides intelligent lead qualification and concierge services on an "as available" basis. We do not guarantee:

• 100% uptime or uninterrupted service availability
• Specific response times or service level agreements (SLAs)
• Error-free operation or bug-free functionality
• That the Service will meet your specific requirements

The Service is provided without warranty of any kind, whether express or implied.

2. Limitation of Liability

To the maximum extent permitted by law:

• Syntene shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims relating to the Service shall not exceed the amount you paid for the Service in the preceding 12 months
• We are not responsible for lost profits, lost data, lost business opportunities, or any other commercial damages
• We are not liable for any leads missed, delayed, or incorrectly qualified due to Service interruptions

You acknowledge that you are using the Service at your own risk.

3. No Service Level Agreement (SLA)

Syntene does not provide formal SLAs unless explicitly agreed upon in a separate written contract. Service interruptions, maintenance windows, and temporary outages may occur without prior notice. We strive to maintain high availability but make no guarantees.

4. Data Handling and Privacy

• You are responsible for ensuring that any data you provide to us complies with applicable laws
• We use industry-standard security measures to protect your data, but cannot guarantee absolute security
• Lead data captured through our concierges is stored securely and used solely for the purpose of connecting you with potential clients
• We do not sell or trade your data to third parties

5. Client Responsibilities

As a client of Syntene, you agree to:

• Provide accurate information for your concierge configuration
• Securely manage your access credentials and notification tokens
• Respond to leads in a timely manner once received
• Not use the Service for illegal purposes or to solicit fraudulent leads
• Comply with all applicable laws and regulations in your jurisdiction

6. Payment and Billing

• Service fees are charged as agreed upon in your specific service agreement
• Third-party costs (such as AI API usage) may apply and are your responsibility unless otherwise specified
• Failure to pay fees may result in service suspension or termination

7. Termination

Either party may terminate the Service at any time with or without cause. Upon termination:

• You will lose access to the Service
• Your data will be retained for a reasonable period then securely deleted
• Any outstanding fees must be paid

8. Modifications to Terms

Syntene reserves the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through binding arbitration.
